A stage-based outline of how potential partner compensation may be considered, documented, and reviewed under applicable requirements.

Stage 01

Initial referral qualification review

  • Referral submissions are assessed for corridor fit, mandate relevance, and intake completeness.
  • Potential compensation is considered only after the referral is accepted as qualified and attributable.
  • No compensation is owed unless eligibility, source attribution, and required records are verified.

Stage 02

Written terms and compliance confirmation

  • If review proceeds, partner eligibility and role scope must be set out in a written agreement.
  • Compensation consideration remains subject to compliance checks, policy requirements, and lawful status.
  • All applicable documentation must be complete and consistent before any compensation treatment is considered.

Stage 03

Documented determination and payment controls

  • Any compensation determination is made only under executed written terms and applicable law.
  • Amounts, if any, depend on documented fee basis, validated attribution, and required approvals.
  • Disbursement, if applicable, occurs only after required documentation, invoicing controls, and compliance sign-off are complete.

Compliance Requirement for Partners

For participation in the Oversea Capital Partner Referral Program and compensation consideration, all individuals must be either:

  • A registered finder with the Texas State Securities Board in compliance with Texas Administrative Code § 115.11;
  • A registered securities dealer or agent in Texas.

By submitting a request to join the program, the person represents that they meet one of these requirements and understand compensation is not guaranteed.

Registration as a finder is available only to individuals and requires filing Form BD and Form U-4 in paper form with the Texas State Securities Board. Payment of compensation to unregistered individuals may constitute a violation of Texas securities laws.
