Investor Policy

1. Our Role is Strictly Limited

Under 7 Tex. Admin. Code § 115.11, a finder may only make introductions. Oversea Capital may:

• Introduce accredited investors to issuers.
• Provide only basic contact and offering information allowed by law.
• Arrange initial meetings between investors and issuers.
• Share an investor's contact information with an issuer.

2. What We Do NOT Do

• We do not negotiate investment terms.
• We do not advise on the advantages or disadvantages of an investment.
• We do not provide due diligence, valuations, or analysis.
• We do not advertise to seek accredited investors or issuers.
• We do not take custody of investor funds or securities.
• We do not provide escrow services.
• We do not disclose information beyond what Texas law permits.

3. Required Disclosures to Investors

Under 7 TAC § 115.11(b), written disclosures must state:

• Compensation will be paid to the finder.
• The finder cannot recommend or advise the accredited investor regarding the offering.
• Any potential conflict of interest related to the finder's activities.

These disclosures must be provided before or at the time of introduction and must be acknowledged in writing.

4. Permitted Information We May Share

Under 7 TAC § 115.11(c), we may share only:

• The issuer's name, address, and telephone number.
• The name, brief description, and price (if known) of the security.
• A brief description of the issuer's business in 25 words or less.
• The type, number, and aggregate amount of securities offered.
• The name, address, and telephone number for additional information.

Financial projections, due diligence findings, and valuations may not be disclosed by us.

5. Compensation Model

Our compensation is a flat fee per introduction. It is not a commission or a percentage of capital raised. It is not contingent on whether an investment is made and is not dependent on the amount invested or transaction success. This flat fee is disclosed in writing before or at the time of introduction.

6. Important Distinction

Oversea Capital (Faract Inc.) is a legally registered finder under Texas law and is not affiliated with offshore trading platforms, forex brokers, or CFD providers.

• We do not accept client funds or deposits.
• We do not offer trading accounts.
• We do not execute buy or sell orders.
• We do not provide financial guarantees or investment returns.

If anyone claiming to represent Oversea Capital requests funds, deposits, or trading activity, that request is not from us and should be reported immediately.

7. Recordkeeping and Compliance

Records must be preserved for five years and must be immediately locatable and not commingled with other records.

Required records include:

• Compensation records showing payor, date, issuer name, and investor name.
• Copies of information provided to investors.
• Agreements with issuers and investors.
• Contact lists and correspondence.
• Form BD and Form U-4 registration documents.

8. Your Responsibility

All investment decisions are solely the investor's responsibility. We do not evaluate the merits or risks of any investment, determine suitability, or provide legal, tax, or financial advice. Investors are solely responsible for their own due diligence and should consult their own legal, tax, and financial advisors before making an investment decision.

9. Regulatory Status

Oversea Capital / Faract Inc. is registered as a finder with the Texas State Securities Board under 7 Tex. Admin. Code § 115.11. We are not registered as a broker-dealer with the U.S. Securities and Exchange Commission, are not a FINRA member, are not an investment adviser, and are not a forex or CFD trading platform.
